Welcome to BitPayPro. These Terms of Service ("Terms") govern your access to and use of BitPayPro's cryptocurrency exchange platform, websites, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Please read these Terms carefully before using our Platform. These Terms constitute a legally binding agreement between you and BitPayPro regarding your use of our services.

1. Acceptance of Terms

By creating an account, accessing, or using the BitPayPro Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all users of the Platform, including but not limited to browsers, vendors, customers, merchants, and contributors of content.

You represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Platform under any applicable laws
• You will comply with all applicable laws and regulations in your jurisdiction
• All information you provide to us is accurate, complete, and current

If you are using the Platform on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.

2. User Accounts

To access certain features of the Platform, you must register for an account. When you create an account with BitPayPro, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Accept all risks of unauthorized access to your account and the information you provide
• Immediately notify us of any unauthorized use of your account or any other breach of security
• Take responsibility for all activities that occur under your account

You may not use another person's account without permission. We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading, or if we believe your account has been compromised.

Identity Verification: To comply with global industry standards and regulatory requirements, including Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations, we may require you to provide additional information and documentation to verify your identity. You agree to provide such information and documentation as requested.

3. Trading Services

BitPayPro provides a platform that allows users to buy, sell, and trade digital assets including cryptocurrencies and tokens. By using our trading services, you acknowledge and agree to the following:

Trading Risks: Cryptocurrency trading involves substantial risk of loss and is not suitable for all investors. The value of digital assets can be highly volatile, and you should carefully consider whether trading is appropriate for you in light of your financial condition, investment experience, and risk tolerance.

Order Execution: When you place an order on the Platform, you authorize BitPayPro to execute the transaction on your behalf at the prevailing market price or at the price you specify. All orders are subject to availability and acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to market volatility, technical issues, or suspected fraudulent activity.

Transaction Finality: Once executed, cryptocurrency transactions are final and irreversible. You are solely responsible for ensuring the accuracy of transaction details, including wallet addresses and amounts. BitPayPro is not responsible for losses resulting from incorrect transaction information.

Market Data: We provide market data and pricing information for informational purposes only. While we strive to provide accurate information, we do not guarantee the accuracy, completeness, or timeliness of market data. You should not rely solely on our market data for making trading decisions.

Trading Limits: We may impose limits on the amount you can trade, deposit, or withdraw, based on various factors including your account verification level, trading history, and applicable regulations.

4. Fees and Payments

You agree to pay all applicable fees associated with your use of the Platform. Fees may include:

• Trading Fees: We charge fees for buying, selling, and trading digital assets. Trading fees are typically calculated as a percentage of the transaction value and vary based on your trading volume and account tier.
• Deposit Fees: Certain deposit methods may incur fees, which will be clearly disclosed before you complete a deposit.
• Withdrawal Fees: Withdrawal fees vary by currency and network and are subject to change based on network conditions.
• Conversion Fees: Fees may apply when converting between different currencies or digital assets.
• Inactivity Fees: We may charge fees for accounts that remain inactive for extended periods.

All applicable fees will be clearly displayed before you complete a transaction. We reserve the right to modify our fee structure at any time. Any changes to fees will be communicated through the Platform or via email, and your continued use of the Platform constitutes acceptance of the revised fees.

You are responsible for paying any additional fees charged by third-party service providers, such as bank wire fees, credit card processing fees, or network transaction fees.

5. User Responsibilities

As a user of the BitPayPro Platform, you are responsible for:

• Account Security: Maintaining the confidentiality of your login credentials and implementing strong security measures, including two-factor authentication (2FA).
• Legal Compliance: Ensuring that your use of the Platform complies with all applicable laws, regulations, and ordinances in your jurisdiction.
• Tax Obligations: Determining what taxes apply to your transactions and remitting the appropriate tax to the relevant tax authorities. BitPayPro does not provide tax advice.
• Accurate Information: Providing accurate and truthful information in all communications with BitPayPro and keeping your account information up to date.
• Due Diligence: Conducting your own research and due diligence before making any investment or trading decisions.
• Safe Computing: Maintaining adequate security software and practices on devices used to access the Platform.
• Monitoring Activity: Regularly monitoring your account for unauthorized transactions and promptly reporting any suspicious activity.

You acknowledge that you are solely responsible for all trading decisions and that BitPayPro does not provide investment advice or recommendations.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Using the Platform for money laundering, terrorist financing, or other illegal financial activities
• Manipulating markets, engaging in wash trading, or participating in fraudulent trading practices
• Creating multiple accounts to circumvent trading limits or restrictions
• Accessing or attempting to access another user's account without authorization
• Transmitting viruses, malware, or other harmful code
• Interfering with or disrupting the Platform's operation or servers
• Attempting to reverse engineer, decompile, or hack the Platform
• Using automated trading systems or bots without prior written consent
• Scraping or harvesting data from the Platform without authorization
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity
• Engaging in abusive, harassing, or threatening behavior toward other users or BitPayPro staff
• Using the Platform to facilitate or promote illegal activities
• Circumventing or attempting to circumvent any security measures

Violation of these prohibitions may result in immediate suspension or termination of your account and may expose you to civil and criminal penalties.

7. Risk Disclosure

Trading in digital assets carries significant risks. Before using the Platform, you should carefully consider whether such trading is suitable for you in light of your financial condition and risk tolerance. You acknowledge and agree to the following risks:

• Volatility Risk: Digital asset prices can be extremely volatile and unpredictable, with the possibility of significant and rapid price movements.
• Liquidity Risk: Certain digital assets may have limited liquidity, making it difficult to buy or sell at desired prices.
• Regulatory Risk: The regulatory environment for digital assets is evolving and may change in ways that adversely affect your holdings or ability to trade.
• Technology Risk: The Platform and digital assets rely on complex technology that may be vulnerable to errors, bugs, or security breaches.
• Market Risk: Market conditions can change rapidly, and past performance is not indicative of future results.
• Counterparty Risk: You face the risk that BitPayPro or other market participants may fail to fulfill their obligations.
• Loss of Access Risk: If you lose access to your account credentials or private keys, you may permanently lose access to your digital assets.
• Network Risk: Blockchain networks may experience congestion, delays, or failures that affect transaction processing.
• Fork Risk: Blockchain networks may undergo forks, which could affect the value and usability of digital assets.

You may lose some or all of your investment. You should never invest more than you can afford to lose. BitPayPro does not provide investment advice, and nothing on the Platform should be construed as a recommendation to buy, sell, or hold any digital asset.

8. Liability Limitations

To the maximum extent permitted by applicable law, BitPayPro and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenues, data, use, goodwill, or other intangible losses
• Any damages resulting from your access to, use of, or inability to access or use the Platform
• Any damages resulting from unauthorized access to or alteration of your transmissions or data
• Any damages resulting from third-party conduct or content on the Platform
• Any damages resulting from errors, mistakes, or inaccuracies of content
• Any damages resulting from the volatility or depreciation in value of digital assets
• Any damages resulting from network delays, system failures, or other technical issues

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BitPayPro does not warrant that the Platform will be uninterrupted, error-free, or secure, or that defects will be corrected.

In no event shall BitPayPro's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to BitPayPro in fees during the twelve (12) months prior to the event giving rise to liability, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Dispute Resolution

Informal Resolution: If you have any dispute with BitPayPro, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will work with you in good faith to resolve any issues.

Arbitration Agreement: If we cannot resolve a dispute informally, you and BitPayPro agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be settled by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted in accordance with the rules of a recognized arbitration organization. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Class Action Waiver: You and BitPayPro agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and BitPayPro expressly waive any right to file a class action or seek relief on a class basis.

Governing Law: These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

10. Changes to Terms

BitPayPro reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of these Terms and may notify you through the Platform, via email, or by other reasonable means.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.

It is your responsibility to review these Terms periodically. Material changes that adversely affect your rights will be communicated with reasonable advance notice, where required by law.

We may also make changes to the Platform, including adding or removing features and functionality, at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

11. Account Termination

Your Right to Terminate: You may terminate your account at any time by following the account closure process on the Platform. Upon termination, you must withdraw all digital assets from your account, subject to applicable fees and processing times.

Our Right to Terminate: We reserve the right to suspend, restrict, or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our policies
• Suspected fraudulent, abusive, or illegal activity
• Failure to complete identity verification
• At the request of law enforcement or regulatory authorities
• Extended periods of inactivity
• Any other reason at our sole discretion

Upon termination, your right to access and use the Platform will immediately cease. We will make reasonable efforts to return your digital assets, subject to applicable laws and regulations. However, we may retain certain information as required by law or for legitimate business purposes.

12. Intellectual Property

The Platform and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement, are owned by BitPayPro, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Platform without our prior written consent.
